Terms of Use

This Agreement/contract/understanding is entered into between Globalfti Pvt.  Ltd with address at No.806, Souravya, 10th – A Main Road, Indira Nagar 1st  Stage, Bengaluru, Karnataka 560038 represented by its Managing Director and  User and constitutes an electronic record as per the Information Technology  Act, 2000 and applicable rules there under including but not limited to the Information Technology (Intermediary Guidelines and Digital Media Ethics  Code) Rules, 2021 (amended from time to time) and are generated by a computer system and hence does not require any physical or digital signatures.

1. INTRODUCTION  
1.1 Contract 

By clicking on “I have read and agree to terms of use” in the website and by creating a Globalfti user account and by enrolling for any of the courses offered  and by accessing or using our Services (described below), you are agreeing to enter into a legally binding contract as envisaged under the Indian Contract Act, with Globalfti (even if you are using third party credentials or using our Services on behalf of a company or educational institution). If you do not agree to this contract, you may ensure you do not do any of above described actions. If you  wish to terminate this Contract at any time, you can do so by closing your  account and no longer accessing or using our Services.  

As a Visitor or User of our Services, the collection, use, and sharing of your  personal data is subject to our Privacy Policy, our Cookie Policy and other  documents referenced in our Privacy Policy, and updates. You acknowledge and have read our Privacy Policy.  

Please review Our Terms of Use, Privacy Policy and all other policies available on  the Platform (collectively referred to as the Terms”) that govern the use of Our Services and Platform. By accessing the Platform and Services, You consent, agree and undertake to abide, be bound by and adhere to the Terms. If you do not adhere to these Terms, you are in unauthorised use Our Services or Platform and  we reserve our right to initiate suitable action against you for the same.  

Services  

This Contract applies to Our Platform, all Courses or trainings or webinars or  seminars offered by Us or in collaboration with Partner Institutes, communications, training delivered offline on Our or Partner Institute’s premises  and all other services that state that they are offered under this Contract  (collectively termed Services”), including the offsite collection of data for those Services, such as feedback forms, attendance records etc.  

Globalfti and other Key Definitions  

You are entering into this Contract with Globalfti Private Limited (also referred to  as We”, Us”, Our”, “the Company” and GFTI”). 

Affiliates.

Affiliates means an entity that controls, is controlled by or is under common control with a party, where control” means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of  directors or other managing authority.  

Courses.

Courses mean any certification, program, workshop, training or
qualification offered by Us or in partnership with Our Partner Institutes, through  online, offline or hybrid mode of delivery which might be instructor led, self paced or combination of both and form part of the broader Services offered by  Us.  

Partner Institute.

Partner Institute means any professional body, recognised school, college or university in India or outside, corporates, affiliated certification  partners etc. who offers a course, workshop, certification or recognised degree,  for which GFTI may act as a reseller and/or a training delivery partner or examination conductor and evaluator.  

Platform.

Platform collectively refers to all our information technology related  components of Services. Not limited just to Our website (globalfti.com), other Globalfti related sites, Globalfti branded mobile/desktop apps, learning  management system (LMS), customer relationship management service (CRM), communication channels, exam conducting & evaluation system, User feedback  related systems, User reviews & testimonial related systems etc.  

Content.

Content includes, for example, videos, photos, audio, mock exams,  practice questions, tests, presentations, notes, any study material (hard copy/ electronic formats), posts, feedback, reviews, comments, blog articles (and contributions), group posts, messages (including chat or email), advertisements,  any documents and/or PDFs.  

1.2 Users and Visitors  

When you click the agree to terms of use icon, register and join for any of  Globalfti’s Services, you become a User”. If you have chosen not to register for our Services, you may access certain features as a Visitor”. 

In order to participate in most of Our Services and to enroll for any of Our  Courses, you will need to register on Our Platform for a personal account having  a unique user ID and password (User Account”) by undergoing a verification process to verify your login credentials such as your phone number, and/or by  providing an email address and a password that is unique.  

1.3 Changes  

Globalfti may modify this Contract, our Privacy Policy, our Cookie Policy and  other policies from time to time. If Globalfti materially changes these terms or if  we are legally required to provide notice, we will provide you notice through our  Services or on the Platform, or by other means, to provide you the opportunity to  review the changes before they become effective. However, we may not always  provide prior notice of changes to these terms (1) when those changes are legally  required to be implemented with immediate effect, or (2) when those changes  relate to a newly launched service or feature. We agree that changes cannot be retroactive. If you object to any of these changes, you may close your user  account. Your continued use of our Services after we publish or send or post a  notice about our changes to these terms would be taken to mean that you are  consenting to the updated terms as of their effective date.  

1.4 General  

Each Course may have a separate set of terms dealing with refunds, deferrals, payments, Course name, Subjects, Batch, Live/Recorded/Hybrid, Fee, Taxes,  Recording access period, Live-class period, Study materials, Exam fees included/ not included, Registration fees included/not included. Refund terms. Support  Until You Pass eligibility, Third-party charges etc. governing that specific Course  (Course Specific Terms”). Our Partner Institutes may also have executed separate written agreements with Us (Partner Institute Agreements”) 

In the event of any conflict between this Contract and these Course Specific  Terms or Partner Institute Agreements, these specific terms/agreements shall  prevail over the Contract. To the maximum extent feasible, they shall be  construed harmoniously.  

1.5 Dispute Resolution  

The parties shall first attempt to resolve any dispute, claim, or controversy  arising out of or relating to these Terms through good faith negotiations. If not  resolved amicably, it shall be referred to and finally resolved by arbitration under  the Arbitration and Conciliation Act, 1996, as amended. The arbitration shall be  conducted by a sole arbitrator appointed by parties as envisaged under the Act.  The seat and venue of arbitration shall be Bengaluru, Karnataka, India, with  proceedings conducted in English.  

Nothing contained in this arbitration clause shall operate to exclude or restrict  any statutory remedy or jurisdiction available to a consumer under the Consumer Protection Act, 2019 or any other mandatory applicable law.  

1.6 Governing Law & Jurisdiction  

This Contract shall be governed by and construed in accordance with the Laws of  India and the courts in Bengaluru, Karnataka shall have the exclusive jurisdiction  over any matter relating to, in connection with, or arising out of, this Contract.  

2. OBLIGATIONS  
2.1 Service Eligibility  

Upon payment of the Course fees, depending on the Course enrolled for –  Globalfti shall deliver the Course Specific Terms and grant You access to the  Course through Our Platform.  

By enrolling in a Course or accessing Our Services, You represent and warrant  that You have the legal capacity and authority to enter into this User Agreement  and agree to comply with all obligations contained herein. 

Users below 18 years of age may enrol only with the consent and involvement  of their parent or lawful guardian and subject to applicable law including  Digital Personal Data Protection Act, 2023 & applicable Rules. Where  required, GFTI may require verification of parental or guardian consent before permitting enrolment or processing personal data.  

2.2 Your Account  

By entering into this Contract, You acknowledge and agree that Your User  Account is for Your exclusive use only. Use or sharing of Your User Account with  another user is not permitted and is cause for immediate blocking of Your access  to the Platform, the Services and the Content, and termination of this Contract.  You agree that you shall not permit to share username/password/OTP,  simultaneous use by multiple persons, screen recording, photographing/video recording classes, downloading where downloading is not expressly enabled, capturing or extracting course videos, forwarding recordings through WhatsApp/Telegram/Google Drive etc., streaming a class to another person,  displaying a paid class to a group, selling/sub-licensing access, using browser extensions/software to capture protected content.  

You agree that You are solely responsible for maintaining the confidentiality of  Your User Account and for all activities that occur under it. You agree to immediately notify our support team if You become aware of or have reason to believe that there is any unauthorized use of Your User Account. You also agree  to take all reasonable steps to stop such unauthorized use and to cooperate with us in any investigation of such unauthorized uses. We shall not under any  circumstances be held liable for any claims related to the use or misuse of Your User Account due to the activities of any third party outside of our control or due  to Your failure to maintain the confidentiality and security of Your User Account.  

Where Globalfti reasonably determines that an account has been shared, compromised or used in violation of these Terms, Globalfti may temporarily suspend access pending verification and may require the User to verify  identity or authorised devices.  

2.3 Payments  

If you buy any of our paid Services, you agree to pay us the applicable fees and  taxes and you agree to any additional terms specific to the paid Services. Failure  to pay these fees will result in the termination of your paid Services. Also, you  agree that:  

  • Your purchase may be subject to foreign exchange fees or differences in prices based on location (e.g., exchange rates).
  • We may modify our prices effective prospectively upon reasonable notice to the extent allowed under the law.
  • All of your paid Services are subject to Globalfti’s refund policy. We may calculate taxes payable by you based on the billing information that you provide us.
  • The payments of the Courses are to be made on 100% advance basis unless specific EMI or payment schemes has been permitted by Us.
  • The study material shall be released only after receiving complete payment of the opted courses.
  • In the event of any suspension or termination of Services on account of non-compliance of the Terms of Use, any payment made to GFTI by you shall stand forfeited with immediate effect.

2.4 Third Party Loan Terms & User Responsibilities  

Where a User has opted for an Education Loan, EMI facility, or any financing arrangement through a third-party bank, NBFC, or financial institution, then all such financing arrangements shall be governed exclusively by the terms and conditions of the respective financial partner.  

The User acknowledges that enrolment in the Course is voluntary and confirms  that they have independently assessed their financial commitments before  enrolling. Whether the Course is self-funded or financed through a third-party lender, all payment obligations, loan repayments, interest, penalties, charges, and  other financial liabilities shall remain solely the responsibility of the User. GFTI  shall not be liable for financing approvals, repayment obligations, disputes, defaults, financial hardship, or any consequences arising from such financing  arrangements.  

Cancellation, suspension, withdrawal or termination of enrolment does not automatically cancel any loan or financing arrangement. Any cancellation or adjustment of financing shall be governed by the lender’s terms and applicable law.  

2.5 Notices and Messages  

You agree that we will provide notices and messages to you in the following  ways: (1) within the Services or (2) sent to the contact information you provided us (e.g., email, mobile number, physical address). You agree to keep your contact information up to date.  

2.6 Platform related Software Updates  

You agree to receive and install updates from GFTI from time to time, designed to  improve, enhance and further develop the Platform and Services. You shall be  solely responsible for procuring, maintaining, and ensuring compatibility of all  hardware, software, internet connectivity, mobile devices, communication  services, and any other equipment required to access or use the Platform. GFTI shall not be responsible for any charges, interruptions, or technical issues arising  from download and installation of such updates.  

2.7 Academic Conduct  

You agree to ensure adherence to attendance of live lectures with a minimum  mandatory attendance of 80%. Attendance is considered present only when the  lecture is attended completely and not left at a partial duration. This ensures that  User are getting information in a structured manner and have access to ask their  questions during the live session. We do not recommend missing live lectures and going through recordings, as this takes away access to resolving doubts with  the faculties. Users are requested to attend the live lecture in full – this will help them clarify their doubts in real time.  

It is made clear that, general recommended/mandatory attendance requirement  is 80%. Eligibility for particular benefits, including Support Until You Pass, may  require higher attendance, including the 95% requirement specified in Clause 6.  

You also agree to attempt, submit and obtain feedback from faculty for all tests  and at the minimum of three full mock exams to ensure better success rates in the actual exam.  

If a User does not achieve above mentioned requirements, it will be difficult for Globalfti to ensure that the User is poised to clear the exam.  

2.8 No Guarantee of Examination Result  

GFTI provides educational and examination-preparation services only. Enrolment, attendance, access to recordings, completion of study materials, mock examinations, faculty guidance or participation in any Course does not  guarantee that a User will pass any examination, obtain any particular score, obtain a professional qualification, secure membership of any professional  body, obtain employment, promotion, salary increase, immigration benefit or  any other professional outcome. Examination results depend upon numerous factors including the User’s preparation, performance and the rules and  assessment standards of the relevant awarding body.  

3. RIGHTS AND LIMITS  
3.1 Usage License for Services  

We grant you a personal, restricted, non-transferable, non-exclusive, and  revocable license to use the Platform and the Content offered through our Services till the time the completion of the Course that You have enrolled for or  the termination of this Contract according to the terms set forth herein, whichever is earlier. The Services and the Content are provided solely for Your personal and non-commercial use to assist you in completing the Course You have registered for (“Restricted Purpose”). You are given restricted online access to the Platform, the Services, and the Content and may download, save, or print the Content solely for the Restricted Purpose if permitted by Us. You are not permitted to copy, reproduce, adapt, modify, transmit, distribute, sub-license, broadcast, reverse engineer, disseminate, commercially exploit or prepare  derivative works of the Content or Services, or any part thereof, in any manner or  through any communication channels or means, for any purpose other than the  Restricted Purpose, without Our prior written consent.  

3.2 Platform Availability & Risks  

GFTI makes no representations that the Platform operates (or is legally permitted  to operate) in all geographic areas, or that the Platform or Content or Services  offered through it are appropriate or available for use in other locations. Accessing the Platform from territories where it, or any Content or functionality  thereof, is illegal is expressly prohibited. If You choose to access the Platform, You do so on Your own initiative and at Your own risk, and are solely responsible for compliance with all applicable laws and regulations.  

3.3 Intellectual Property Rights  

While You are granted a limited and non-exclusive right to use the Platform, the Services, and the Content for the Restricted Purpose as set forth in this Contract, You acknowledge and agree that GFTI and/or its licensors, Partner Institutes and respective rights holders retain all intellectual property rights in the Platform, Services and Content, as applicable. You acknowledge and agree that this Contract other than permitting You to use the Platform, the Services and the  Content for the Restricted Purpose does not convey to You in any manner or form any right, title or interest of a proprietary, or any other nature in the  Platform, the Services and the Content.  

All trademarks, service marks, logos, trade names, and branding displayed on  the Website, app or Content are the exclusive property of Globalfti or their  respective owners. Nothing in these Terms grants You any right to use such trademarks without prior written authorization.  

GFTI respects intellectual property rights and reserves the right to remove any Content alleged or found to infringe any copyright, trademark, or other proprietary right, with or without prior notice. Users may report suspected  infringement to Us through the official communication channels notified in this Contract.  

3.4 Usage of Personal Information  

We reserve the right to feature Your picture in any photos, videos, or other  promotional material used by Us. Further, We may use Your personal information to inform You about other certification training courses offered by us. However, We shall not distribute or share Your personal information with any third party marketing database or disclose Your personal information to any third party except on a case-to-case basis after proper verification of such third  party or if required under any applicable law.  

Live classes, webinars and interactive sessions may be audio/video recorded for educational, quality-control, training, security and course-access purposes. A User’s name, profile image, voice, video, questions, chat messages or other participation may consequently be captured in such recordings. Users who do not wish their image or voice to appear should keep their camera/microphone disabled except when required for participation and may communicate questions through available alternative channels, subject to  Course requirements. 

3.5 Limitation of Liability  

You expressly agree that use of the Website, the Services, and the Content are at  Your sole risk. We do not warrant that the Platform or the Services or access to  the Content will be uninterrupted or error free; nor is there any warranty as to  the results that may be obtained from the use of the Platform, the Services or the  Content or as to the accuracy or reliability of any information provided through  the Platform, the Services, or the Content. In no event will We or any person or  entity involved in creating, producing, or distributing the Platform, the Services,  or the Content be liable for any direct, indirect, incidental, special, or consequential damages arising out of the use of or inability to use the Platform,  the Services, or the Content and Courseware. The disclaimer of liability contained  in this clause applies to any and all damages or injury caused by any failure of  performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or  unauthorized access to, alteration of, or use of records or any other material, whether for breach of contract, negligence, or under any other cause of action.  You hereby specifically acknowledge that We are not liable for any defamatory, offensive, wrongful, or illegal conduct of third parties, or other users of the Platform, the Services or the Content and that the risk of damage or injury from  the foregoing rests entirely with each User. You agree that Our liability or the  liability of Our affiliates, directors, officers, employees, agents, and licensors, if  any, arising out of any kind of legal claim (whether in contract, tort or otherwise)  in any way connected with the Services or the Content shall not exceed the fee you paid to Us for the particular Course. 

4. THIRD-PARTY SERVICES, REGISTRATION, EXAMINATIONS &  CERTIFICATES  
4.1. Course Enrolment  

Enrolment in a Course offered by GFTI does not constitute admission to,  enrolment in, or registration with any university, educational institution, professional body, or awarding organization. Unless expressly stated otherwise, Courses offered by GFTI do not carry academic credit. Where a Course is conducted in collaboration with or affiliated with a Partner Institute or professional body, the grant of any academic credit, certification, qualification, or membership shall be solely at the discretion of such Partner Institute or  professional body, governed by its own rules, eligibility criteria, policies, and procedures. GFTI has no authority or responsibility in relation to the award of  such credit, certification, qualification, or membership.  

4.2. Documentation for Registration  

The User is solely responsible for submitting complete, accurate, legible, and valid documents required for registration with the relevant professional body, university, or Partner Institute within 15 (fifteen) days from the date of  enrolment, or within such timeline as may be prescribed. Failure to submit required documents, submission of incomplete, incorrect, false, misleading, unverifiable, or illegible documents, or failure to pay applicable Course fees may result in delay, rejection, suspension, cancellation, or non-completion of  registration, for which GFTI shall not be liable. Users requiring assistance must contact our help desk within the prescribed timeline.  

Upon submission of the learner’s registration documents by GFTI to the relevant  professional body, university, Partner Institute, or awarding organization, any verification, approval, processing, rejection, delay, suspension, or decision shall  be solely governed by the policies and procedures of such third party. GFTI shall not be responsible or liable for any delay, rejection, suspension, cancellation, or any other consequence arising from the actions, decisions, or verification processes of such professional body, university, Partner Institute, or awarding organization.  

4.3. Examinations  

Exemptions or waivers, if applicable, are granted solely by the respective body or certifying institute based on the User’s affiliated college, university, and  qualifications. Globalfti does not provide any exam fee waivers or discounts.  

Globalfti shall not be held liable for unavailability of exam centres or failure to secure an exam seat due to delayed action by User or unavailability of exam booking site, as exam booking, scheduling and seat allocation are governed directly by the external bodies. Users are advised to proactively check and book available centres to avoid loss of an attempt.  

4.4. Issuance of Certificates  

GFTI may issue a certificate of completion, participation, or other acknowledgment for eligible Courses, subject to the User fulfilling applicable eligibility criteria (attendance, assessments, assignments, fee payment, and other requirements prescribed by Us). Certain Courses may not include any certificate or acknowledgment. Issuance, format, content, and eligibility criteria for any  certificate shall be determined solely by GFTI and may vary across Courses. Where a Course is conducted with a third-party awarding body, university, or certification partner, issuance of any certificate shall be subject to that third  party’s terms, policies, and eligibility criteria.  

GFTI does not issue or guarantee the issuance of certificates, memberships, or professional qualifications awarded by any external awarding body, regulator, or university.

5. COURSE CHANGES, DELIVERY & ACCESS  
5.1. Changes to Course, Platform or Service  

GFTI reserves the right to modify, suspend, discontinue, limit, or terminate any  Course, Platform, support service, evaluation service, or any other associated service, with or without prior notice. We shall not be liable to You or any third party for any such modification, suspension, discontinuance, merger, rescheduling, or termination, and nothing in this Contract obligates GFTI to continue maintaining or supporting the Platform, Course batches, or any  associated Services.  

5.2. Changes to Course Delivery  

GFTI reserves the right, at its sole discretion, to determine and modify batch size and to cancel, postpone, reschedule, merge, increase, decrease, or otherwise modify any batch, training, live lecture, webinar, course schedule, curriculum, faculty, topics, assignments, tests, quizzes, examinations, projects, evaluations, or  any other component of the Course based on operational, academic, or business requirements.  

We reserve the absolute right to change, replace, or reassign faculty at any time, including during an ongoing batch, at its sole discretion. Such changes shall not  be considered a valid ground for withdrawal or refund.  

5.3. Batch Allocation  

We assign batches to best match Your learning flow and according to GFTI’s  batch schedule. You will receive a communication from Our team to confirm Your spot before classes begin. Please review Your allocated batch carefully  before accepting it. Once You acknowledge and confirm Your spot, batch  transfers to another subject or repeat book dispatches are not permitted under  any circumstances. Requests for withdrawal, rescheduling, or refunds on the basis of batch timings will not be accepted under any circumstances, except as  expressly provided in the Refund Policy or required under applicable law 

5.4. Course Access  

You understand that access to classes, recordings, LMS, study materials, and  other course related services is provided for a limited duration applicable to Your  enrolled Course, subject, or plan. Upon expiry of the validity period, access will  be discontinued, and any extension, renewal, or reactivation may be subject to additional charges. Access may be reinstated if User is eligible to resit training for  the Course, subject or plan under Our Support Until You Pass feature (Clause 6 of  Contract) and subject to a request sent to Us through our official communication channels with necessary proof for exam booking. All resit requests will be evaluated by management and their decision will be final. Access to any course  or study material from third party service providers may have a renewal fee  based on their respective policies and GFTI will have no say in that.  

Course access may be revoked in case User fails to pay the instalment or  complete course fee by the stipulated deadline communicated at the start of the enrolled Course.  

Course access (recordings and/or Live classes) may be provided on temporary  basis for Users during demo period before they pay Course fee and enrol for the  Course. Such demo access can be revoked by GFTI at any time post the demo period of 24 hours. Access to Course recordings may be reinstated on case to case basis.  

6. SUPPORT UNTIL YOU PASS FEATURE  

We succeed when our students succeed, with this philosophy in mind We offer to  Our Users “support until you pass” feature. This enables eligible Users to resit  Our training for a particular subject in the enrolled Course, free of cost, subject to  fulfilling following conditions:
[1] User’s attendance must be 95% at all times.
[2]
User must have paid the full fee applicable for the Course.
[3] User must have
 written and submitted 3 full mock exams to faculty and got it evaluated with feedback.
[4] User must book the next exam sitting and submit the proof along
 with their resit request.
[5] User must not have availed of the “Class Recordings”
 only feature
[6] GFTI management gives resit permission post evaluation of
User’s case.  

User must pay the full exam fee for their resit attempt as per professional body,  certifying institute’s policies. Access to study material or course from third party  service providers may also have a renewal or re-purchase fee as per the  respective policies of the respective publisher. GFTI has no say or control over  these applicable fees and charges. Hardcopy books might need to be repurchased  if content validity expires or the syllabus changes between re-sits. Content validity is clearly specified by publisher in the hard copy books and User is  required to be aware of this at all times

The Support until You Pass Feature is restricted only to the coaching/ training  service, doubt clearing services, mock exams and their analysis provided by  GFTI.  

No employee, counsellor, faculty member, agent or representative is authorised  to vary these Terms or make any guarantee concerning examination results, employment, salary, certification, course duration, refunds or lifetime access except where expressly confirmed by GFTI in writing through an authorised communication. 

7. Gloablfti “DO’S & DON’TS”  
7.1. Do’s  

You agree that you will:  

  1. Review, agree and comply with all Our policies and comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, and other applicable laws and regulatory requirements; 
  2. Provide accurate contact and identity information to us and keep it updated; 
  3. Adhere to Academic Conduct and GFTI’s Do’s and Don’ts 
  4. Notify GFTI immediately if You become aware of any other User cheating or breaching these Terms, and comply with the requirements of any specific applicable code of conduct relating directly to a Course into  which You are enrolled. 
7.2. Don’ts  

You agree that you will not:  

  1. Access or attempt to access any data, account, server, system, or network for which You are not authorized; 
  2. Probe, scan, test, or exploit vulnerabilities, or attempt to bypass authentication or security measures;  
  3. Introduce or transmit any virus, malware, or other malicious code, or engage in overloading, flooding, spamming, mail bombing, denial-of service attacks, or other disruptive activity;
  4. Send unsolicited communications, advertisements, or unauthorized commercial communication through the Platform; 
  5. Forge, alter, or manipulate packet headers, email headers, metadata, or other identifying information;  
  6. Use any robot, spider, scraper, crawler, automated script, AI tool, data mining tool, or bot to access, monitor, copy, extract, or interact with the Platform, except through standard web browsers or functionality  expressly authorized by GFTI; 
  7. Otherwise interfere with, disrupt, or attempt to interfere with the normal operation, security, or availability of the Platform or Services. 
  8. Harass other Users, attendees, support agents or visitors during the use of Our Platform or Courses; 
  9. Create an atmosphere of disharmony and/or hostility within User groups; 
  10. Cheat on any homework assignment or exams for the Course;
  11. Post online any secured testing materials; 
  12. Share solutions to homework assignments or exams; 
  13. Engage in any form of sexual harassment or unwelcome physical, verbal, non-verbal, written, visual, or electronic conduct of a sexual nature towards any faculty member, employee, mentor, recruiter, placement  partner, vendor, fellow User, or any person associated with GFTI, within  GFTI premises or outside or online. 
  14. Record our classes.
  15. Engage in screen recording, audio recording, video capture, screenshots of protected materials, credential sharing, retransmission, redistribution, uploading to cloud drives, Telegram/WhatsApp circulation and/or resale. 

Any actual or attempted violation of the above shall constitute a material breach  of these Terms, and GFTI reserves the right to investigate and take appropriate  disciplinary action, including suspension or termination of enrolment, removal  from Courses or Our Services, without prejudice to any rights or remedies  available under applicable Indian Laws.  

8. INDEMNITY  

You agree to indemnify and hold Us, Our contractors, licensors, directors,  officers, employees, and agents, harmless from and against any and all claims, losses, damages, liabilities, and expenses including attorneys’ fees, arising out of  Your unauthorized use of the Platform, the Services, and the Content or any  violation or breach of this Contract or any provisions hereof. 

9. WAIVER  

Neither failure nor delay on the part of any party to exercise any right, remedy,  power, or privilege hereunder shall operate as a waiver thereof, or of the exercise  of any other right, remedy, power, or privilege. No term of this Contract shall be  deemed waived, and no breach consented to unless such waiver or consent shall  be in writing and signed by the party claimed to have waived or consented. No waiver of any rights or consent to any breaches shall constitute a waiver of any  other rights or consent to any other breach. 

10. SEVERABILITY  

In the event any provision of this Contract is held invalid or unenforceable under  the applicable laws of India, the remaining provisions shall continue in full force  and effect, and the Contract shall be deemed to be reformed by replacing such invalidated or unenforceable provision with a valid and enforceable provision that gives effect as closely as possible to the intentions of the parties as expressed  by the invalidated or unenforceable provision.  

11. FORCE MAJEURE  

Neither party shall be liable for any failure or delay in performing its obligations  under this Agreement if such failure or delay is caused by an Event of Force Majeure which shall include but not be limited to natural disaster, epidemic,  government restrictions, strikes, internet/telecommunications outages, cloud/ platform outages outside reasonable control, civil disturbance, examination-body  changes, regulatory action. In the event of above, GFTI shall provide for  reasonable rescheduling/substitution of Classes unless the event lasts for more  than [60] consecutive days, in which event GFTI can terminate this Agreement. 

12. ASSIGNMENT  

Globalfti is permitted to assign/transfer the agreement in connection with,  merger, restructuring, sale of business and/or transfer to affiliate subject to applicable law. It is made clear that you are not permitted to transfer course rights without consent of Globalfti.
